Parties, order and workspace
The order must identify the service provider, customer, plan, authorised users, workspace administrator, price, taxes, duration and active services. The registrant must state the organisation name, tax identifier, role, business email address and authority to represent; the backend does not currently record these details.
Licence, data, confidentiality and DPA
The customer grants the limited technical licence necessary to provide the service and retains rights and responsibility for content. Owevaro processes entrusted data in accordance with instructions and a final DPA. The draft DPA is not acceptable for execution and a checkbox does not make it binding. Confidentiality obligations and measures must be described without overstating controls that have not been evidenced.
Security, acceptable use and AI
The customer manages roles and individual accounts, minimises data and does not upload special-category data, criminal-offence data or minors' data. This exclusion is permanent and cannot be waived by an order or DPA. AI remains informational, with no automatic external actions or legal advice. HR, credit, insurance, essential-service or justice use cases are outside the service.
SLA, support, payments and taxes
The catalogue and monthly/annual prices are prepared, as are Stripe Managed Payments, webhooks and the Customer Portal, but no plan is purchasable because SALES_ENABLED=false. For enabled transactions, Stripe acts as merchant of record under the service terms; this does not replace a B2B order, DPA, Italian accounting treatment, SLA, support windows, credits, renewals, suspension and refunds, all of which require definition and testing.
Duration, termination, export and deletion
Duration and renewal will be stated in the order. Technical portable export and deletion have been tested with synthetic data; before opening the business flow, the recovery period, return/deletion, isolated backups, legal holds and switching assistance must be governed.
Liability, indemnities, audits, governing law and jurisdiction
Limitations, indemnities, audits, governing law, jurisdiction and onerous clauses require professional validation and, where necessary, specific approval. No clause may conceal mandatory liability or controls that have not been demonstrated.
